Legal
Terms of Service
This document is written in English. If a translation is ever provided, the English version is the one that applies.
Please read these Terms carefully. They explain what you can expect from Seloira, what we expect from you, and the limits of our responsibility.
1. This agreement
These Terms of Service (the “Terms”) are a legal agreement between you and Seloira Solutions, a business name registered with the Corporate Affairs Commission of Nigeria under number RC 9919995, based in Abuja, Nigeria (“Seloira”, “we”, “us”). They govern your use of seloira.com, the Seloira app, storefronts, emails and related services (the “Services”).
By creating an account, accepting an invitation or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a business, you confirm that you have authority to bind that business, and “you” includes that business. If you do not agree, do not use the Services.
2. Definitions
- Business: the business that holds a Seloira account and the people who act for it.
- Account User: anyone with a login to a Business’s account, whether owner, manager or staff.
- Client: a customer of a Business who books, buys or is recorded through the Services.
- Client Data: personal data about Clients that a Business records or collects through the Services.
- Content: anything a Business or Account User uploads, writes or publishes through the Services, including storefront content, images, prices and policies.
- Subscription: a paid plan for the Services.
3. Who can use Seloira
- You must be at least 18 years old and able to enter a binding contract.
- The Services are for business use. They are not offered to consumers acting for personal purposes.
- You must not use the Services if you are barred from doing so by law, or if we have previously closed your account for breaching these Terms.
4. Accounts and security
You must give accurate information and keep it up to date. You are responsible for keeping login details secret and for everything done through your account, including by the Account Users you invite and the roles you give them.
Tell us at compliance@seloira.com straight away if you suspect unauthorised access. We may ask you to verify your identity or your business, and we may suspend access while we investigate a security concern.
5. The Services
Seloira is software that helps a Business take bookings, sell products, collect payments through Paystack, keep client records and send messages. We may improve, change or remove features over time.
Features we describe as “coming soon”, “on the way” or beta are plans, not promises. They may change, arrive later than expected or not arrive at all, and you should not rely on them when deciding to subscribe. Beta features are provided as they are, without any commitment of availability.
6. Your business and your Clients
Seloira provides tools. It is not a party to any agreement between a Business and its Clients, and it does not provide, supervise or guarantee any service or product a Business offers. Each Business is solely responsible for:
- the services and products it sells, their quality and safety, and any licence, permit, qualification or insurance they require, including for medical, aesthetic and other regulated treatments;
- its prices, deposits, cancellation, no-show and refund policies, and honouring them;
- complying with consumer protection, advertising, tax and other laws that apply to it, including the Federal Competition and Consumer Protection Act 2018;
- its relationships and disputes with its Clients; and
- the accuracy of everything it publishes on its storefront.
We do not vet Businesses, and a storefront on Seloira is not an endorsement. A Business shows its own policies to Clients, and Clients accept them before paying.
7. Client payments
Paystack
Card and bank payments from Clients are processed by Paystack. To accept them, a Business must connect a payout account, pass any checks Paystack requires and agree to Paystack’s own terms. Seloira is not a bank, a payment service provider or an escrow agent.
Where the money goes
In normal operation, payments settle into the Business’s own Paystack subaccount and on to its bank account on Paystack’s schedule. Seloira does not hold a Business’s takings. If a payment ever settles to Seloira’s balance instead, for example because a payout account was not yet connected, we hold it for the Business and remit or refund it as soon as reasonably possible.
Fees
Seloira charges no commission on a Business’s sales. Paystack charges its own processing fees. Each Business chooses whether it pays those fees or passes them to the Client, in which case the amount charged to the Client includes them.
Refunds and recovery
Each Business is responsible for refunds to its Clients. If a refund to a Client is paid before the money has been recovered from the Business, for example because Paystack draws it from Seloira’s balance, the Business authorises us to recover that amount by retaining part of its later payments through Paystack until it is repaid, and to set it off against anything we owe the Business. We will show the Business what is being recovered.
Chargebacks
The Business is responsible for chargebacks, reversals, penalties and fees arising from its transactions, and must help resolve any dispute.
Payments recorded by hand
Cash and bank transfers a Business records itself are records only. We do not verify that the money was received.
8. Subscriptions, trials and billing
- Plans and prices are shown on our pricing page. A plan marked “coming soon” is not yet available to buy.
- Launch offer: accounts created before 1 December 2026 can use Seloira free of charge until that date, and billing starts on 1 December 2026. These accounts do not also get a free trial.
- Free trial: accounts created on or after 1 December 2026 start with a 30-day free trial on their chosen plan. No payment card is needed to start.
- Continuing after a trial or the launch offer:to keep using a paid plan, you choose a plan and add a payment method. If you don’t, we may pause or limit your account. Your data stays in place while it is paused, subject to section Suspension and termination.
- Billing cycles: Subscriptions are billed in advance monthly, every six months or yearly, at the price and discount shown when you subscribe.
- Automatic renewal: a Subscription renews automatically at the end of each cycle until it is cancelled. You authorise us and Paystack to charge your saved payment method for each renewal.
- Cancelling: you can cancel at any time. Cancellation takes effect at the end of the cycle you have paid for. We do not refund partial cycles, unless the law requires us to.
- Extras: extra team seats and, once available, extra messages are charged at the rates on our pricing page. Unused message allowances do not roll over.
- Price changes: we may change prices. We will give at least 30days’ notice, and a change applies from your next renewal after the notice period.
- Taxes: prices exclude value added tax and similar taxes unless we say otherwise. You pay any taxes that apply.
- Failed payments: if a renewal fails, we will tell you and may limit or pause the account until it is paid.
9. Acceptable use
You must not use the Services to:
- break any law or regulation, or help anyone else do so;
- sell or promote illegal, counterfeit, dangerous or age-restricted goods or services, weapons, drugs, gambling, adult content or unlicensed financial or medical services;
- defraud, mislead or harass anyone, or take payments for something you won’t provide;
- send spam or messages people have not agreed to receive;
- upload content that infringes someone else’s rights, or that is defamatory, hateful or obscene;
- collect more personal data than you need, or sensitive data without a lawful basis;
- impersonate another person or business, or register a handle in bad faith;
- probe, scan or test the Services’ security, or interfere with, overload or disrupt them;
- copy, scrape, resell, reverse engineer or build a competing product from the Services, except where the law allows it; or
- get around usage limits, rate limits or access controls.
We may remove content, pause a storefront or suspend an account that breaks this section.
10. Handles and storefronts
Your storefront link (for example store.seloira.com/your-business) is yours to use while your account is open. It is a licence, not property, and you cannot sell or transfer it.
Checking whether a handle is available does not reserve it. A handle is claimed only when you set up your storefront. Once used, a handle is never given to anyone else, so old links keep working. We may refuse or reclaim a handle that is offensive, misleading, infringes someone’s rights or was registered in bad faith.
11. Your Content and Client Data
You keep ownership of your Content and Client Data. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and transmit them only as needed to provide, secure and improve the Services, and to show your storefront to the public.
You confirm that you have all the rights, permissions and lawful bases needed for your Content and Client Data, and that our use of them under these Terms will not break any law or anyone’s rights.
12. Data processing terms
For Client Data, the Business is the controller and Seloira is its processor. Our Privacy Policy explains our own use of personal data as a controller. For Client Data, we will:
- process it only on the Business’s documented instructions, which these Terms and the Business’s use of the Services make up, unless the law requires otherwise;
- make sure the people who process it are bound by confidentiality;
- keep appropriate technical and organisational security measures in place;
- use only the sub-processors listed in our Privacy Policy, tell Businesses before adding a new one, and let a Business that reasonably objects end its Subscription;
- help the Business answer requests from Clients exercising their rights, and with data protection impact assessments, as far as reasonably possible;
- tell the Business without undue delay after becoming aware of a personal data breach;
- delete or return Client Data when the account closes, as described in section Suspension and termination, unless the law requires us to keep it; and
- give the Business the information reasonably needed to show that we meet these obligations.
The Business is responsible for:
- having a lawful basis for all Client Data and giving Clients the notices the law requires;
- getting explicit consent, or another lawful condition, before recording sensitive data such as health information, allergies, identity documents or photos;
- getting a parent’s or guardian’s consent before recording data about a Client under 18 where the law requires it; and
- keeping Client Data accurate and limited to what it needs.
13. Messages sent for you
Emails we send to your Clients, such as confirmations, reminders and receipts, show your business name and are sent “via Seloira”. Replies go to your business email. You are responsible for having the right to contact your Clients, and for getting their consent before sending them marketing.
To protect delivery for everyone, we may stop sending to addresses that bounce or mark our messages as spam. When WhatsApp and SMS messages become available, they will also be subject to the rules of those channels.
14. Third-party services
The Services work with third parties such as Paystack and Google. Your use of them is governed by their own terms and policies. We are not responsible for third-party services, and their failure or change may affect the Services.
15. Our intellectual property
Seloira, the Services, our software, designs and brand belong to us or our licensors. While your account is open, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your business under these Terms. We keep all other rights.
If you send us feedback or ideas, we may use them without any obligation to you.
16. Availability and support
We work to keep the Services available and secure, but we do not promise that they will be uninterrupted or error-free. We may carry out maintenance, which can cause downtime. Support is provided by email at support@seloira.com on a reasonable-efforts basis.
17. Disclaimers
To the fullest extent the law allows, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
Nothing in the Services is legal, tax, financial or medical advice. Reports and figures are tools to help you, and you remain responsible for your own records and decisions.
18. Limitation of liability
To the fullest extent the law allows:
- Seloira is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, however it arises;
- Seloira is not liable for the acts or omissions of Businesses, Clients, Paystack or any other third party, or for any service or product a Business provides; and
- Seloira’s total liability arising out of or in connection with these Terms or the Services, in contract, tort (including negligence) or otherwise, is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim and ₦100,000.
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
19. Indemnity
You will defend, indemnify and hold harmless Seloira, its affiliates and their directors, officers, employees and agents from and against all claims, demands, losses, liabilities, damages, fines, penalties, costs and expenses, including reasonable legal fees, arising out of or related to:
- the services and products you provide, and any injury, loss or harm they cause;
- any claim or dispute brought by one of your Clients;
- your Content, and your collection and use of Client Data;
- your failure to have a lawful basis, consent or notice for any personal data, including sensitive data;
- messages sent to your Clients at your request or through your settings;
- refunds, chargebacks, reversals and payment disputes on your transactions;
- your taxes;
- the acts and omissions of your Account Users; and
- your breach of these Terms or of any law, or your infringement of anyone’s rights.
We will tell you promptly about any claim, let you control its defence with counsel we reasonably accept, and give reasonable help at your cost. You may not settle a claim that imposes any obligation on us without our written consent.
20. Suspension and termination
You can stop using the Services and ask us to close your account at any time by emailing compliance@seloira.com.
We may suspend or close an account, or a storefront, with notice where reasonable, if you breach these Terms, do not pay, create risk or possible legal exposure for us or others, or if the law requires it. We may act without notice where there is a risk of fraud, harm or a security incident.
When an account closes, access ends. For 30 days after closure, you can ask us for an export of your Business information and Client Data. After that, we delete it as described in our Privacy Policy, except what we must keep by law.
Sections on payments owed, recovery of refunds, your Content, data processing, our intellectual property, disclaimers, limitation of liability, indemnity, governing law and anything else meant to survive will continue after the agreement ends.
21. Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for the purposes of this agreement, except where it is already public, was lawfully received from someone else, or must be disclosed by law.
22. Events outside our control
We are not responsible for any failure or delay caused by events beyond our reasonable control, including failures of networks, power, banks or payment providers, natural events, strikes, civil unrest or government action.
23. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria.
If a dispute arises, we will first try to resolve it in good faith. If it is not resolved within 30 days of written notice, it will be finally resolved by arbitration under the Arbitration and Mediation Act 2023 by a single arbitrator, seated in Abuja, Nigeria, in English. Either of us may still ask a court for urgent injunctive relief.
24. Changes to these Terms
We may update these Terms. If a change is significant, we will give at least 14days’ notice by email or in the app before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Services after a change takes effect, you accept it. If you don’t accept it, you can close your account.
25. General
- These Terms, our Privacy Policy and any terms shown when you buy a Subscription are the whole agreement between us about the Services.
- If any part is found unenforceable, the rest still applies.
- If we don’t enforce a right straight away, we have not waived it.
- You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or reorganisation, including to a company set up to run Seloira. We will tell you by email before that happens, and these Terms carry on with that company in our place.
- Nothing in these Terms creates a partnership, agency or employment relationship.
- We may send notices to the email address on your account. You can send notices to compliance@seloira.com.
- These Terms are written in English. If we provide a translation, the English version applies.
